SITRONICS (LSE: SITR) is one of the leading solution providers in the field of telecommunications, information technologies and microelectronics in Russia and CIS countries expanding to Central and Eastern Europe, Middle East and Africa.
SITRONICS has more than 3,500 customers. The company has offices and subsidiaries in 30 countries exporting to more than 60 countries worldwide. The company currently employs about 8,000 staff.
The major enterprises of SITRONICS are located in Prague (Czech Republic) and Athens (Greece) for Telecommunications Solutions, in Kiev (Ukraine) for IT, in Zelenograd, Moscow (Russia) for Microelectronics Solutions.
In February, 2007 the company successfully held its IPO on the London Stock Exchange, which confirmed its leadership in the high-tech market of CIS, Central and Eastern Europe. That was one of the largest technological IPOs in London and the first IPO among Russian high-tech companies.
SITRONICS’ shares have been listed on the London Stock Exchange Main Market in the form of global depositary receipts (GDR, one global depositary receipt is worth 50 ordinary shares) under the ticker SITR. SITRONICS’ shares are included in the Quotation list “B” of RTS Stock Exchange and traded under the tickers SITR and SITRG. The company shares are also admitted to trading on MICEX Stock Exchange in Innovation and Investment Market sector under the ticker SITR.
SITRONICS’ share capital is equivalent to 9,547,087,190 rubles. It is divided into 9,547,087,190 registered ordinary shares of 1.00 ruble nominal value each.
The total number of GDRs issued for ordinary shares as of September 30,2011 was equivalent to 1,429,125,750 shares (28,582,515 GDRs), or 14.97% of the Company’s share capital. The depositary program is carried out by Deutsche Bank.
SITRONICS generated revenues of US$ 1,166.9 million in 2010 and had US$ 2,013.3 million of assets at the end of the year. SITRONICS is majority owned by OJSC RTI, which is the subsidiary of Sistema, the largest public diversified corporation in Russia and the CIS.
On June 22, 2010, SITRONICS placed non-convertible interest-bearing certified commercial bonds to bearer of BO-01 series totaling 2 billion rubles. The circulation period is 3 years, subject to a two-year put option .
On October 11, 2010, SITRONICS placed non-convertible interest-bearing certified commercial bonds to bearer of BO-02 series totaling 3 billion rubles. The circulation period is 3 years, subject to a two-year put option.
